Certificate of Formation

200
To form an LLC in Washington, you must file a Certificate of Formation with the Secretary of State. The filing fee for this document is $200. The process involves selecting a unique business name, appointing a registered agent with a physical address in the state, and providing the principal office address. Additionally, most new entities must file an initial report within 120 days of formation.
Following the initial registration, Washington requires LLCs to file an annual report to remain in good standing. This report is due every year by the last day of the LLC’s anniversary month. The standard filing fee is $70, though some sources may vary slightly based on the filing method. Failure to submit the report on time results in a $25 penalty and can eventually lead to administrative dissolution of the business.
