To form an LLC in Utah, you must file a Certificate of Organization with the Division of Corporations and Commercial Code. This document requires details such as the business name, registered agent information, and principal office address. The state charges a $54 filing fee, and applications can be submitted online, by mail, or in person.
Following formation, every Utah LLC must file an annual report to maintain good standing. This report is due by the last day of the business’s anniversary month each year. The standard filing fee is $18. Failing to file within the designated window can result in a $10 late fee and eventual administrative dissolution of the entity.
