To form an LLC in Tennessee, you must file Articles of Organization with the Secretary of State. This can be completed online or by mail. The process requires choosing a unique business name and appointing a registered agent with a physical address in the state. For entities with six or fewer members, the filing fee is $300. If your LLC has more than six members, an additional fee of $50 per member applies, up to a maximum of $3,000.

After formation, Tennessee requires LLCs to file an annual report to maintain good standing. These reports are due by the first day of the fourth month following the close of your fiscal year; for most businesses, the deadline is April 1st. The annual report fee is also based on membership, starting at a $300 minimum. Failing to file within 60 days of the deadline may result in administrative dissolution.
