Articles of Organization

150
To form an LLC in South Dakota, you must file Articles of Organization with the Secretary of State. This process requires a $150 filing fee, as noted in the state fee schedule. You will need to provide a unique business name, designate a registered agent with a physical South Dakota address, and decide whether the entity will be member-managed or manager-managed. Submissions can be completed online for immediate processing or via mail.

Once established, South Dakota requires LLCs to file an annual report to remain in good standing. This report is due by the first day of the anniversary month of your initial registration. The filing fee is $50 if submitted online or $65 if sent by mail. Failure to file on time results in a $50 late fee and risks administrative dissolution of the business entity.
