To form an LLC in Pennsylvania, you must file a Certificate of Organization with the Department of State. This process involves choosing a unique business name, appointing a registered agent with a physical address in the state, and submitting form DSCB:15-8821 along with a docketing statement. The standard filing fee is $125, which can be paid via the online PENN File system or by mail.
Starting in 2025, Pennsylvania requires LLCs to file annual reports to maintain good standing, replacing the previous decennial requirement. These reports must be submitted between January 1 and September 30 each year. The filing fee is $7 for most LLCs, though it is waived for nonprofit purposes. Failure to file may lead to administrative dissolution and the loss of your business name's protection.
