To form an LLC in Oklahoma, you must file Articles of Organization with the Secretary of State. This process requires a $100 filing fee and can be completed online or by mail. You must provide a unique business name, designate a registered agent with a physical Oklahoma address, and list the principal office location. Once the state approves the filing, the entity is officially registered to do business.
Maintaining compliance requires filing an Annual Certificate each year with the Secretary of State. This report is due on the anniversary of the LLC’s formation and carries a $25 fee. While Oklahoma does not charge late fees, failing to file within 60 days of the deadline results in the loss of "good standing." If a certificate is not filed for three consecutive years, the state will automatically dissolve the business entity.
