The formal process involves filing Articles of Organization with the Secretary of State and paying a $99 filing fee. This can be completed online via the Ohio Business Central portal or by mail.
For ongoing maintenance, standard Ohio LLCs are not required to file annual or biennial reports. This distinguishes Ohio from most states that mandate regular informational updates. Note that professional LLCs are an exception and must submit a biennial report by July 30 of even-numbered years with a $25 fee. While most entities avoid these reports, it is essential to keep your statutory agent information updated to remain in good standing.
