To form an LLC in North Carolina, you must first ensure your chosen business name is available through the Secretary of State’s database. Once confirmed, you must file Articles of Organization with the Secretary of State and designate a registered agent. This filing can be completed online, by mail, or in person, and carries a mandatory filing fee of $125.

After formation, North Carolina requires LLCs to file an annual report to maintain good standing and update company records. These reports are due every year by April 15, starting the year after the LLC was formed. The filing fee is $202 for online submissions or $200 if filed by mail. Failure to submit this report can eventually lead to administrative dissolution of the business.
