To form an LLC in New York, you must file Articles of Organization with the Department of State. This process requires a $200 filing fee and includes choosing a unique business name and designating a county for the office location. Additionally, New York law requires LLCs to publish a notice of formation in two newspapers for six consecutive weeks within 120 days of filing.
Regarding ongoing compliance, New York LLCs must file a Biennial Statement every two years during the anniversary month of their formation. This report costs $9 and updates the state on the business address and registered agent. While there is no standard annual report, most LLCs must also pay an annual filing fee to the Department of Taxation and Finance, which ranges from $25 to $4,500 based on the previous year's gross income sourced from New York.
