To form an LLC in Mississippi, you must file a Certificate of Formation with the Secretary of State. This process is completed online through the Secretary of State’s business services portal. The state requires a $50 filing fee to process the document. You will need to provide a unique business name, appoint a registered agent with a physical address in the state, and specify whether the entity is member-managed or manager-managed.

Following formation, Mississippi requires all domestic LLCs to file an annual report to maintain good standing. These reports are due each year between January 1 and April 15 and must be submitted electronically through the state's online portal. There is currently no filing fee for domestic LLC annual reports.
