To form an LLC in Maryland, you must file Articles of Organization with the State Department of Assessments and Taxation (SDAT). This document includes your business name, address, and resident agent information. The standard filing fee is $100. You can submit these documents online through Maryland Business Express for faster processing or by mail.

Once established, all Maryland LLCs must file an Annual Report (Form 1) by April 15 each year to remain in good standing. While recent legislation has waived the $300 annual report fee for some online filers, a Personal Property Tax Return may still be required if your business owns or leases tangible property in the state. Late filings can result in penalties up to $500 or forfeiture of your business charter.
