To form an LLC in Maine, you must file a Certificate of Formation with the Secretary of State. This process requires a $175 filing fee. You will need to choose a distinguishable business name that includes an LLC designator and appoint a registered agent with a physical Maine address. The document must also specify whether the entity will be member-managed or manager-managed.
Once established, all Maine LLCs must file an annual report to remain in good standing. Reports are due every year by June 1st, starting the year after formation. The standard filing fee is $85 for domestic LLCs and $150 for foreign entities. These reports can be submitted online or by mail and serve to update the state on your business’s current address and leadership information.
