To form an LLC in Idaho, you must file a Certificate of Organization with the Secretary of State. The state filing fee for this document is $100. You can submit the application online through the SOSBiz portal or by mail. Your filing must include the business name, the name and physical address of a registered agent located in Idaho, and at least one governor, such as a member or manager.

Once established, every Idaho LLC is required to file an annual report to remain in good standing. This report is due each year by the last day of the LLC’s anniversary month. There is no filing fee ($0) for the annual report, and it can be completed online via SOSBiz. Failure to file within 60 days of the deadline may result in the administrative dissolution of your business by the state.
