To form an LLC in Florida, you must file Articles of Organization with the Division of Corporations. This can be done online through the Sunbiz portal or by mail. The state requires a $125 filing fee to process the registration. Once approved, your business is officially recognized as a legal entity in the state, and you will receive a document number for your records.

Maintaining your LLC requires filing an annual report every year between January 1 and May 1. This report updates your business information and requires a $138.75 fee. It is mandatory even if no changes have occurred. Failing to file by the May 1 deadline results in a non-negotiable $400 late fee. If the report remains unfiled by the third Friday in September, the state may administratively dissolve your LLC, impacting its legal standing.
