Articles of Organization
To form an LLC in Arizona, you must file Articles of Organization with the Arizona Corporation Commission. This process involves selecting a unique business name, appointing a statutory agent with a physical Arizona address, and deciding on a member-managed or manager-managed structure. The state requires a $50 filing fee for the Articles of Organization. After filing, most LLCs must also satisfy a publication requirement by publishing a notice of their formation in a newspaper for three consecutive weeks in the county of their known place of business.
Regarding ongoing compliance, Arizona is unique because it does not require LLCs to file annual reports. While corporations must submit yearly updates and fees, LLCs are exempt from this specific requirement. However, business owners should remain aware of other obligations, such as maintaining a statutory agent and filing necessary state and federal taxes, including the Transaction Privilege Tax if applicable to their business activities.
